General terms and conditions of sale

1. Purpose

The purpose of these General Terms and Conditions of Sale (GTC) is to define the terms and conditions under which the company FIV-DROP provides a frozen cells transport service, intended for individuals undergoing Assisted Reproduction (ART).

2. Description of services

FIV-DROP ensures the transport of frozen reproductive cells (oocytes, spermatozoa, embryos, ovarian tissue, testicular tissue) in compliance with safety, traceability and conservation standards, both nationally and internationally.

3. Order

The client requests a service via the website or through direct contact. The order is validated after acceptance of the quote, signing of the mandate and the general terms and conditions, and receipt of payment.

4. Price and payment terms

The price indicated on the quote is in euros, all taxes included. Payment is made before the service is delivered by bank transfer. An additional charge may apply for urgent requests and will be indicated to the client.

5. Transport conditions

5.1 THE CONTAINER

The cryopreservation tanks used are approved for human cells. The model is the Dry Shipper V2 from the Cryopal and Cryolab brands, specifically designed for the transport of reproductive cells. It contains a material that absorbs the liquid nitrogen poured in and releases it in the dry phase in the form of nitrogen vapor. This technology allows cells to be continuously maintained at a low temperature. In addition, the containers are equipped with a temperature measuring probe that records the temperature throughout transport. The container is kept in a dedicated transport cover.

5.2 THE ORIGIN LABORATORY

The courier arrives at the departure laboratory equiped with a container pre-filled with liquid nitrogen (already cold). The biologist identifies the straw(s) and places them in the container. He(she) is solely responsible in the case of error regarding the straws identity or count. He(she) hands the container over to the carrier, who performs a final identity check before sealing the container.

5.3 TRANSPORT

Transport is carried out by a courier, trained in the transport of biological tissues, in handling of liquid nitrogen, and complies with hygiene standards and confidentiality rules.

The tank remains sealed throughout the journey from the departure lab to the arrival lab. For car transport, the container is securely fastened and kept upright in the vehicle throughout the journey. For train and air travel, the container is kept upright at all times, either carried by the carrier or placed on the ground under his constant supervision.

5.4 THE ARRIVAL LABORATORY

The carrier hands the container to a member of the team on site. The seal is removed by the healthcare professional in charge of receiving the straws. The professionnal checks the temperature, the identity and the count of straws, before removing the straws from the tank.

5.5 IDENTITY CONTROL AND NUMBER OF STRAWS

The origin laboratory is solely responsible for identifying and counting straws. The FIV-DROP carrier performs a final check before sealing the container but will not be held liable in case of error (identity or number of straws).

5.6 TRANSPORT DELAY

The carrier strives to respect the schedule in terms of hours, but these are approximate and subject to variations. FIV-DROP will not be held responsible if the delay is due to a case of force majeure or to the failure of a third party (plane delay, train or canceled flight, etc.).

6. Right of withdrawal

In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal via the dedicated form is possible within 14 days following the payment. Please note that this right is not valid in the case of "urgent" services. If expenses have already been incurred to provide the service (plane or train ticket), the amount of the refund will be made at the discretion of the FIV-DROP.

7. Responsibilities

FIV-DROP is bound by an obligation of means. It cannot be held liable in the event of an error by the departure or arrival laboratory, failure due to force majeure, or failure by a third party (station or airport staff, etc.).

Regarding the identity and count of the straws: the origin lab is solely responsible and no error can be attributed to FIV-DROP.

Regarding cell preservation: FIV-DROP uses certified dry-shippers to maintain the low temperature. Each container is checked before shipping and monitored during the journey. However, unforeseen temperature variations due to external events (unforeseen interventions or defects, transport breakdown, force majeure) cannot engage the liability of FIV-DROP beyond the obligation of means.

Furthermore, FIV-DROP will not be held responsible for the success or failure of the follow-up care during the subsequent use of the transported cells.

8. Personal data

The personal data collected is used solely for the purpose of providing the service. In accordance with the GDPR, the client may request access, rectification, or deletion of their data by contacting FIV-DROP: contact@fivdrop.com

9. Disputes and applicable law

These General Terms and Conditions are subject to French law. In the event of a dispute, an attempt at amicable settlement will be preferred. Failing this, the French courts will have sole jurisdiction.

10. Acceptance of the T&Cs

The customer acknowledges having read and accepted without reservation these General Conditions of Sale.
